These Terms of Service (the "Terms") form a legal agreement between you and Hirosei (the "Operator") concerning your use of SettleTokyo (the "Service"). Please read these Terms carefully before using the Service.
By registering an account, submitting an inquiry, or otherwise using the Service in any manner, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you disagree with any part, please do not use the Service.
About the Service
The Service is a multilingual real-estate information platform for non-Japanese residents. Its main features include:
- Search, favourite, and compare property listings
- Submit inquiries ("toiawase") to Joyhome, a licensed broker
- Customer "MyPage" (account, favourites, conversation history, notifications)
- Area guides, rental guides, FAQ, and other content
The Service is operated by Hirosei and provides only an information platform. Actual brokerage activities (property viewings, contract signing, fee collection, etc.) are conducted independently by Joyhome, a Japanese real-estate company that holds the requisite real-estate broker licence (宅地建物取引業免許).
The Service is not a real-estate brokerage business, financial service, loan referral, or other regulated business under Japanese law. See the Brokerage Disclaimer for the precise responsibility boundary.
Eligibility
To use the Service you must meet all of the following:
- Be at least 18 years old and have full legal capacity
- Not be a person related to anti-social forces ("反社会勢力") as defined under Japanese law
- Provide truthful, accurate, complete registration information
- Agree to comply with these Terms, the Privacy Policy, and applicable laws
We reserve the right to refuse registration or terminate accounts, particularly where the above conditions are breached or registration information materially differs from reality.
Accounts and security
- One account per person — please do not create multiple accounts
- Keep your login information (email, magic link, password) confidential
- All actions under your account are treated as your own actions
- Contact customer support immediately if you suspect your account has been compromised
- Accounts may not be transferred, sold, or rented to others
You may delete your account at any time via MyPage settings. After deletion, inquiry records are retained per the "Retention period" section of the Privacy Policy; other personal data is anonymised or deleted.
Prohibited conduct
When using the Service, you may not:
- Violate any Japanese law, regulation, or ordinance
- Infringe the copyright, trademark, image rights, or privacy of others
- Defame, harass, threaten, or discriminate against others
- Submit fake or malicious inquiries (e.g. repeated inquiries with no intent to view)
- Use crawlers or automation to scrape listing data at scale
- Attempt to break or attack the Service's systems (SQL injection, XSS, CSRF, brute force, etc.)
- Impersonate others or use fake personal information
- Reverse-engineer or decompile the Service (except where permitted by law)
- Use the Service for commercial purposes (including reselling listing data or operating a competing service)
- Engage in any conduct that disrupts the normal operation of the Service or violates public order and morals
Violations may result in immediate account suspension, content removal, and we reserve all legal rights including claims for damages.
Content ownership and licence
Service-provided content
All original content on the Service (UI design, copywriting, area guides, FAQ, etc.) is owned by Hirosei or its licensors. Copying, distributing, modifying, or creating derivative works is not permitted without prior written consent.
Listing information is owned by, and the accuracy of which is the responsibility of, the original registrant (Joyhome or upstream data sources). The Service, as an information aggregator, does not warrant the accuracy of listing data.
Content you submit
Content you input or upload (inquiry messages, attachments, profile information) remains owned by you. You grant the Operator a non-exclusive, worldwide, royalty-free licence to use, store, and transmit your content as necessary to provide the Service (e.g. forwarding inquiries to Joyhome, displaying messages in chat windows, responding to support).
Service changes and termination
- We may modify, suspend, or terminate any part of the Service, with or without prior notice
- The Service may be temporarily unavailable for maintenance, updates, or emergency fixes
- Service changes contemplated by these Terms do not constitute a breach by us, but we will make reasonable efforts to give advance notice
- If we terminate the Service entirely, we will notify you at least 30 days in advance by email or via a prominent notice on the site
Disclaimer of warranty
To the maximum extent permitted by Japan's Consumer Contract Act:
Listing accuracy
- Listings shown on the Service originate from our partner broker or upstream sources and do not constitute an offer or warranty
- Price, area, layout, vacancy status, etc. may change at any time and the broker's confirmation is authoritative
- Listing photos may have been edited (exposure, white balance, etc.) for display quality without affecting the underlying property
Brokerage scope
- The Operator is not a licensed broker and does not participate in contract signing, fee collection, or other brokerage activities
- All brokerage activities are conducted independently by Joyhome; disputes with Joyhome should be resolved directly between you and Joyhome
- The Operator does not warrant the quality of Joyhome's services
System availability
- The Service is provided "as is" — we do not warrant 100% availability, latency-free operation, or freedom from interruption
- We are not liable for losses caused by force majeure (earthquakes, network failures, third-party outages, etc.)
Limitation of liability
Even in cases where the Operator is at fault, our liability is limited as follows (per Article 8 of the Consumer Contract Act, this limitation does not apply to damages caused by wilful misconduct or gross negligence):
- Direct damages: capped at the amount you have actually paid for the Service in the past 12 months (currently zero, as the Service is free)
- Indirect, special, consequential damages, loss of opportunity, lost profits: not compensated
- Property-related losses (failed contracts, breach penalties, moving costs, etc.): handled by Joyhome within its scope of responsibility
For damages caused by wilful misconduct or gross negligence of the Operator, the Operator is liable in accordance with applicable law, without the limitations above.
Governing law and jurisdiction
- Formation, validity, interpretation, performance, and dispute resolution of these Terms are governed by the laws of Japan
- Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes arising under the Service
- For consumer-contract disputes, the more favourable statutory protections of the Consumer Contract Act apply
Changes to these Terms
- We may amend these Terms as necessary
- Material changes (e.g. fee policy, substantive user-rights changes) will be notified by email or a prominent notice on the site at least 30 days in advance
- Non-material changes will be posted on the site and take effect from the update date
- Continued use of the Service after notice constitutes acceptance of the amended Terms
- If you disagree, you may delete your account and stop using the Service
Miscellaneous
- If any provision is held invalid or unenforceable, the remaining provisions remain in effect
- In case of inconsistency between the Chinese (Simplified / Traditional) and English versions of these Terms, the Simplified Chinese version controls; translations are provided for convenience
